Re: Duties Imposed on IFCSS's Officers and Directors

     In the past several years, some of IFCSS's former officers and 
directors have carried out certain activities that have caused 
considerable damages to IFCSS's operation and even threatened IFCSS's 
financial well-being. In order to eliminate future occurrence of this 
problem, the HQ intends that a code of conducts be imposed on IFCSS's 
directors and officers. Likewise, this HQ will require that IFCSS's 
full-time officers and employees enter into a formal employment 
contract with IFCSS.  

     IFCSS is a not-for-profit organization incorporated in Maryland. 
The code of conducts designed for IFCSS's directors and officers will 
be drafted in accordance with the pertinent provisions in the annotated 
Code of Maryland. Under the annotated Code of Maryland, a director of 
a not-for-profit organization is required to perform his duties:
     1) In good faith;
     2) In a manner he reasonably believes to be in the best
        interests of the corporation; and
     3) With the care that an ordinarily prudent person in a like
        position would use under similar circumstances. 
     (Md. Corps. & Ass'ns Code Ann. sec.2-405.1(a))

     The relevant provisions in the annotated Code of Maryland also 
require an officer or an employee of a not-for-profit organization 
to perform his duties in the management of the assets and affairs 
of the corporation as:
     1) Provided in the bylaws; and
     2) Determined from time to time by resolution of the board   
        of directors not inconsistent with the bylaws.
     (Md. Corps. & Ass'ns Code Ann. sec.2-414(a))

     The HQ will also consider inserting a reasonable no-competition 
clause into its employment contract with its full-time officers and 
employees not inconsistent with applicable law. Similarly, a written 
agreement between IFCSS and its committees or working groups receiving 
funding from IFCSS will be under consideration.

     The HQ welcomes inputs from the Council and the Supervisory
Committee on the above-mentioned matter.

Subj:   Proposal for Promoting the humanitarian aid to the June 4th victims
Date:   August 20, 1994

    The aid to the people who have suffered due to the June Fourth event 
is a major  focus of this term's work of IFCSS.

    One of the major challenges is to explore and establish financial 
resources with long term commitment.  We consider that the adoption plan 
for the June 4th victim families proposed by the Humanitarian Committee 
is a viable plan to achieve this goal.

    We propose that each of the elected IFCSS officer (President, Vice 
President, Council members and Supervisory Committee members) takes up 
the aid to one victim family ($200/year/family) in the family relief 
plan of the Humanitarian Committee.

    The funds shall be collected and sent to the recipient family in 
China through the Humanitarian Committee according to its rules and 
family list.  The goal of this year is to cover 30 family.

    We hope to encourage the participation of the Chinese student and 
scholar community in the fund raising for assisting the June 4th victims 
and families through the leadership and direct involvement of IFCSS 
officers.  

    We are looking forward to the support of all IFCSS officers to this 
project.

Subj:   Request to release the voting records of the 6th Annual Convention 
	to CSS public
Date:   August 20, 1994

    According to the democratic principle of open operation, this term HQ 
hereby proposes that the voting records for electing the President/Vice
President and the members of SC in the 6th Annual Convention of IFCSS be 
released to the Chinese student and scholars community.

    We consider this as necessary to ensure the openness of the democratic 
process of the elections and the accountability of the IFCSS Annual Conven-
tion to the community it has vowed to represent, for each delegate 
represents his or her own but the member organization which sent him or her 
to the Convention.  

    The publication of the records shall include the name of the delegate, 
the representing organization, city, state, and the candidates that the 
delegate had voted for the president/vice president and for the members 
of SC.

    We fully understand the concerns of Mr. Lu Wenhe, council 
member from northeast, on the lack of detailed working proposal 
of certain proposed projects. According to HQ's plan, once the 
personnel appointments are approved, the opening bid for most 
funded projects (except certain continuous projects in the areas 
of human rights and humunitan aid) will be called under the
supervision of corresponing functional committees.  Only at that
time the best workable proposal can be formed and the council be
informed. 
    
    Your understanding and cooperation on this matter is
highly appreciated.
