Licensing agreements for film or video projects



After reviewing donor agreements and getting appropriate permissions I've
decided to license use of some original film footage from our collections
for a small shop documentary.  The original film is 12 minutes long and we
are restricting total use to 6 minutes of their choosing.   We also have
relevant still images that may be included for which we will charge a flat
use fee and sound recordings of speeches and oral histories may come into
play.

In addition to requesting one copy of the finished product we are charging
a per-minute-on-screen fee (determined after the final edit).  I've never
made an agreement like this before and don't have a canned document.  I'd
love to see examples of how others word licensing agreements for material
used in film or video projects.  What are the essential issues to address?

Any suggestions you can offer would be very welcome!
